Terms of Use

Article 1 - Scope

These terms will govern the relationship between Stable 1 LTD, with registered office at 4th Floor, Office 205, Regent Street, London, England, W1B 3HH, company number 15661757 (hereafter referred to as ‘Stable 1’), and the client regarding the Stable 1 software during the use, trial, and subscription period and thereafter.

These terms and conditions will apply to all services rendered, all invoices sent by Stable 1 to the client, and all agreements concluded between Stable 1 and the client. The terms and conditions form an integral part of the agreement with the client. Any deviation from these terms and conditions must be agreed to in writing.

These terms and conditions will take precedence over those issued by the client or any third party, even if Stable 1 has not explicitly rejected their use. The applicability of these terms is agreed to by the client by ordering services or products from Stable 1 or concluding an agreement with Stable 1.

If one or more clauses of these terms are deemed entirely or partially null and void, this will not affect the validity of the remaining terms. The parties will replace the void clause with a valid one that corresponds to the original intentions.

Article 2 - Subscription

The subscription period will be on a quarterly or yearly term starting from the day of activation (hereafter referred to as the ‘Effective Date’). The subscription will automatically renew under the same conditions unless terminated by one of the parties, with notice given by email at least thirty (30) days prior to the anniversary of the Effective Date.

Following the acceptance of these terms by Stable 1, access to the application will be provided via username or email and password. This access includes a revocable, non-exclusive, non-transferable, and non-sublicensable user license to the application owned by Stable 1. An End User License Agreement must be concluded before access is granted.

Article 3 - Price and Payment

All prices are stated in pounds sterling (£). Any increase in the VAT rate or any other charge between the order and execution will be borne by the client. Stable 1 reserves the right to correct any typographical errors in its quotations.

The client will pay the amounts due by credit card payment (Visa or Mastercard). Upon activation of the subscription, the client must provide payment details. Invoices are payable immediately, and Stable 1 will send these invoices. If an invoice is not paid immediately, Stable 1 will notify the client before attempting to collect the amount from the client’s credit card or bank account up to three times. Failure to collect the amount due will allow Stable 1 to deactivate the account without prior notice.

Article 4 - Intellectual Property

Stable 1 will remain the sole owner of all Intellectual Property Rights in the Stable 1 software and products, including derivative works and improvements. No right, title, or interest is transferred to the client. Intellectual Property Rights include all rights under UK law, including copyrights, patents, trademarks, and trade secrets.

Article 5 - Confidentiality

The client must not disclose any confidential information received from Stable 1. Whether information is confidential will be communicated by Stable 1 to the client before disclosure. If a non-disclosure agreement is concluded, its content will take precedence.

Article 6 - Termination and Annulment

The agreement can be terminated with thirty (30) days’ written notice by either party. Termination rights are subject to the terms outlined in Article 2. The agreement cannot be annulled except as provided herein.

Article 7 - Liability

Stable 1 cannot be held liable for any damages except in cases of gross negligence or willful misconduct. Liability for personal injury or death resulting from negligence cannot be excluded or limited. Should Stable 1 be liable, compensation is limited to the amount invoiced and paid during the previous financial year, except in cases of malicious intent.

Article 8 - Force Majeure

Stable 1 cannot be held liable in situations of force majeure (e.g., war, strike, power failures). Obligations will be suspended during force majeure, and if the event continues for more than three (3) months, either party may terminate the contract without compensation.

Article 9 - Complaints

Complaints regarding services, products, or invoices must reach Stable 1 via email within fourteen (14) days of the defect being ascertained. After this period, services and products will be considered accepted.

Article 10 - Data Protection

The client confirms that all data transferred to Stable 1 complies with UK GDPR and the Data Protection Act 2018. The client will safeguard Stable 1 from any claims from data subjects. The Privacy Policy can be consulted at Stable 1 Privacy Policy.

Article 11 - Applicable Law and Competent Jurisdiction

The entire legal relationship between Stable 1 and the client will be governed by English law. Any disputes will be resolved exclusively in the courts of England and Wales.
